Terms of Service

These terms govern your use of Ava Social Canvas. They matter more than most software terms, because this product spends money and speaks to your customers on your behalf. The sections on advertising spend, AI content and automation limits are the ones to read properly.

01The agreement

These Terms of Service (“Terms”) are an agreement between you — or the organisation you represent (“you”) — and PathOr Platforms (“we”, “us”), covering the Ava Social Canvas application, its APIs, and this website (together, the “Service”).

By creating an account or using the Service you accept these Terms and our Privacy Policy. If you are agreeing on behalf of a company, you confirm you have authority to bind it. If you do not accept these Terms, do not use the Service.

02What the service is

Ava Social Canvas is an AI marketing platform. Depending on your plan and what you switch on, it can: build a brand profile, generate captions, images and campaigns, schedule and publish to social platforms you connect, read and reply to engagement, plan and manage advertising campaigns, and report on results.

The Service is a tool that acts on your instruction. It is not an advertising agency, and it does not provide marketing, legal, financial or tax advice. Decisions about your business remain yours.

We add, change and remove features over time. We will not materially degrade a paid feature during a billing period without telling you.

03Accounts & eligibility

  • You must be at least 18 and legally able to enter a contract.
  • The information you give us must be accurate, and you must keep it up to date.
  • You are responsible for your credentials and for everything done through your account — including by team members you invite. Tell us immediately if you suspect unauthorised access.
  • If you add team members, you are responsible for their use of the Service and for the permissions you give them.
  • You may only connect social and advertising accounts you own or are authorised to manage.

04Plans, billing & refunds

Subscriptions

Paid plans are billed in advance on a recurring basis through Razorpay. Your subscription renews automatically for the same period until you cancel. Prices are shown on our pricing page and exclude taxes unless stated; GST is added where applicable.

Plan limits

Each plan includes stated limits — brands, posts, AI image generations, team seats and similar. Where a limit is reached, the relevant feature stops until the next period or until you upgrade. We may meter usage-based features, and where we do, the rate is shown before you incur it.

Cancellation

Cancel at any time from your billing settings. Cancellation stops the next renewal; your plan stays active until the end of the period you have paid for. We do not pro-rate part-periods.

Refunds

Payments are generally non-refundable. If the Service fails materially and we cannot fix it within a reasonable time, contact us and we will consider a pro-rated refund in good faith. Nothing here removes rights you have under Indian consumer law.

Price changes

We may change prices with at least 30 days' notice before your next renewal. If you do not accept a change, cancel before it takes effect.

Failed payment

If a payment fails we may retry it and may suspend paid features until it succeeds. Scheduled posts and automations may not run while an account is suspended.

05Advertising spend

Where you connect an advertising account and enable campaign management:

  • You set the budget. The Service will not exceed the limits you approve, and you can pause or stop all managed activity at any time.
  • You are responsible for all spend incurred on your advertising account, including spend resulting from campaigns you approved through the Service.
  • You are responsible for compliance with each platform's advertising policies, and for the legality of your offers, claims and landing pages under Indian law — including advertising, consumer protection and sector-specific rules.
  • Platform decisions are theirs, not ours. Ad rejections, account restrictions, billing disputes, delivery problems and reporting discrepancies are governed by the platform's terms, and we have no control over them.
  • Reported figures come from the platforms. We display what their APIs return; attribution and metrics can change retroactively and are not our figures to warrant.

No performance guarantee

Advertising results depend on your product, price, offer, market, competition, creative and budget — most of which are outside our control. Any projection, forecast, estimate or recommended budget shown in the Service is an estimate based on available data, not a promise. We do not guarantee reach, leads, conversions, revenue, return on ad spend, or that any budget will achieve any particular outcome.

06AI-generated content

  • Review before you publish. AI can be factually wrong, misstate your product, produce awkward phrasing in any language, or generate imagery with errors. You are responsible for everything published or sent under your brand name.
  • You own your output. As between you and us, generated content produced for your brand is yours to use. Note that AI output may not be eligible for copyright protection in some jurisdictions, and similar output may be generated for others.
  • Accuracy of claims is on you. Prices, offers, guarantees, health or financial claims and comparative statements must be verified before publication.
  • Disclosure rules apply to you. Some platforms and jurisdictions require AI-generated or AI-altered content to be labelled. Meeting those requirements is your responsibility.
  • Do not input what you may not share. Only provide material you have the right to use, and do not upload sensitive personal data you have no lawful basis to process.

07Connected platforms

The Service works by connecting to third-party platforms — Meta, Google, LinkedIn, X, TikTok and others. Your use of those platforms is governed by their terms, and you must comply with them.

  • Platforms change their APIs, permissions, rate limits and policies without consulting us. Features can degrade or disappear as a result, and that is not a failure of the Service.
  • A platform may restrict, suspend or ban your account for reasons entirely outside our control. We are not liable for that, and cannot reverse it.
  • Publishing, messaging and advertising are subject to each platform's approval and delivery systems. We cannot guarantee that a given post, message or ad will be delivered, approved or shown.
  • You must not use the Service to breach a platform's terms — including automation, spam and messaging-consent rules.

08Automation & approvals

Parts of the Service act without a person present for each action — scheduled publishing, automated replies, and campaign management where you enable it. Those features operate on this basis:

  • You configure the boundaries — budgets, spending ceilings, what may run automatically, and what must be approved first.
  • You can stop everything immediately. Pausing or disconnecting halts managed activity; changes may take a short time to propagate to a platform.
  • Actions are logged. We keep an audit record of what the Service did on your account, so it can be reviewed.
  • Automated messaging is your responsibility. If you enable features that send messages to your customers, you are responsible for having a lawful basis to contact them, for honouring opt-outs, and for complying with applicable communication and data-protection rules.
  • Automation is not supervision. Review what runs on your account. Approving a plan or configuration means you accept the actions taken within it.

09Acceptable use

You may not use the Service to:

  • Break the law, or infringe anyone's intellectual property, privacy or publicity rights.
  • Send spam or unsolicited bulk messages, or contact people who have opted out.
  • Create content that is deceptive, defamatory, hateful, harassing, sexually explicit, or that impersonates a real person or organisation.
  • Promote fraud, scams, illegal products, or claims you cannot substantiate.
  • Generate deepfakes or synthetic media of real people without their consent.
  • Connect accounts you do not own or have authority to manage.
  • Reverse engineer, scrape, resell or white-label the Service without our written agreement, or use it to build a competing product.
  • Circumvent plan limits, rate limits or security controls, or probe our systems without permission.
  • Upload malware, or anything that interferes with the Service's operation.

We may remove content or suspend access if we reasonably believe these rules have been broken.

10Intellectual property

Yours

You keep all rights in your brand materials, logos, media, knowledge-base content and the content generated for your brand. You grant us a limited licence to host, process, transmit and display that content — solely to operate the Service for you, and for as long as you use it.

Ours

We keep all rights in the Service itself: the software, models, interfaces, designs, documentation and the AvA and PathOr names and marks. Nothing in these Terms transfers those to you.

Feedback

If you send us suggestions, we may use them freely and without obligation.

11Availability & support

We work to keep the Service available, but we do not offer a guaranteed uptime commitment unless it is written into a separate agreement with you. Maintenance, third-party outages and platform failures can interrupt it.

Support is provided by email at support@pathor.ai during Indian business hours. We aim to respond within two business days.

12Suspension & termination

You may stop using the Service and delete your account at any time from Settings → Privacy & Data.

We may suspend or terminate your access if you materially breach these Terms, if your payment fails and stays unresolved, if your use threatens the security or stability of the Service, or if we are required to by law or by a platform we depend on. Where circumstances allow, we will warn you first and give you a chance to fix the problem.

On termination: your right to use the Service ends, scheduled activity and automations stop, and your data is deleted in line with our Privacy Policy. Export your data before you delete your account — deletion is permanent.

13Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We specifically do not warrant that:

  • the Service will be uninterrupted, secure or error-free;
  • AI-generated content will be accurate, original or suitable;
  • any marketing, advertising or engagement activity will produce any particular result;
  • third-party platforms will remain available, or will approve, deliver or continue to permit your activity.

14Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity — however caused.

Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in subscription fees in the twelve months before the event giving rise to the claim.

For clarity, and because it is the most likely source of a dispute: we are not liable for advertising spend on your own advertising accounts, for platform account restrictions or bans, or for business outcomes of campaigns run through the Service.

Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud, wilful misconduct, or death or personal injury caused by negligence.

15Indemnity

You agree to indemnify and hold us harmless from claims, damages, losses and reasonable legal costs arising from: your content and the content published through your account; your breach of these Terms or of a connected platform's terms; your advertising claims, offers and landing pages; your communications with your customers; and your infringement of anyone else's rights.

16Changes to these terms

We may update these Terms as the Service evolves. The “last updated” date at the top always reflects the current version. For material changes we will give reasonable notice — by email or in the app — before they take effect. Continuing to use the Service after that means you accept the updated Terms; if you do not, cancel your subscription.

17Governing law & disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. The competent courts in India have exclusive jurisdiction over any dispute arising from them.

Before starting formal proceedings, please contact us at support@pathor.ai — most disputes are resolved faster that way, and we will engage in good faith for at least 30 days.

If any provision of these Terms is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it.
